We are not responsible for delays caused by incomplete information, lack of access, or failure to provide required materials.

4. Fees and Payment

Unless otherwise agreed:

Payments are due on the date stated on the invoice.
Late payments may incur suspension of services.
All fees are exclusive of GST unless otherwise stated.

Revenue increases

6. Intellectual Property

Unless otherwise agreed in writing:

You retain ownership of materials and content you provide.
You grant us a non-exclusive licence to use your materials solely for the purpose of delivering the Services.
Upon full payment, work product created specifically for you will belong to you.

Our internal systems
Processes
Templates
Methodologies
Training materials
Pre-existing intellectual property

7. Confidentiality

Both parties agree to keep confidential any non-public business, financial, technical, or operational information disclosed during the engagement.

Confidential information must not be disclosed to third parties unless:

With written consent
Necessary for service delivery under strict confidentiality obligations

8. Independent Contractor Relationship

Vertex Virtual Support provides services as an independent contractor.

Nothing in these Terms creates:
